Introducing...
Our SecureMove service

If you’re buying or selling with Homes Partnership, you’ll have the option to benefit from our Reservation Agreements—designed to provide security and peace of mind for both buyers and sellers from the very beginning. These agreements ensure that your transaction is protected, reducing the risk of last-minute changes or withdrawals.

It’s no surprise that the UK Government now recommends Reservation Agreements for all property sales. Already a standard practice in many countries worldwide, these agreements legally bind both parties once an offer is accepted, making the process smoother and more reliable for everyone involved.

Sadly around 39% of home sales in the UK fall through without a Reservation Agreement.

With a Reservation Agreement in place, the chances of a home sale falling through drop significantly to just 6%.

Consider this: losing your buyer could also mean losing the property you want to buy resulting in an average of £3700 in wasted legal fees and back to square one with marketing again. A Reservation Agreement significantly reduces this risk, making it a smart financial decision.

What is a Reservation Agreement?

The Reservation Agreement is a financial obligation to stop unreasonable termination by either side.

At Homes Partnership, our Reservation Agreements are approved by both the UK Government and The Law Society (the professional association representing solicitors in England and Wales).

These agreements legally lock in both buyer and seller at the point of sale agreement, removing the risk of the transaction falling through before the exchange of contracts.

Just like booking a holiday, buying a new-build home, or ordering a brand-new car, a financial commitment at the start of the process ensures all parties are serious about the transaction. Without this, around a third of UK property sales fall through due to buyers withdrawing on a whim or sellers accepting better offers at the last minute.

The UK property market is evolving, with Reservation Agreements becoming a recommended practice for all transactions. The Government’s official guides on buying and selling reflect this shift, with new regulations anticipated in the near future.

Homes Partnership is proud to be ahead of the curve, embracing Reservation Agreements since 2024 to provide greater security for our clients. We are the first local estate agency to implement this innovative approach, ensuring peace of mind for buyers and sellers alike.

How It Works

When you agree to a sale with Homes Partnership, both parties make a small setup fee to cover the legal costs of the Reservation Agreement. This replaces outdated large holding deposits and guarantees a meaningful financial commitment by both buyer and seller.

This fee ensures:

  • A 100% guarantee that compensation is available to the injured party if the sale falls through due to the other party’s fault.
  • No further legal costs to recover compensation.
  • Complete transparency, with all details provided before either party commits.

If the sale falls through for reasons beyond either party’s control—such as a chain breaking, mortgage issues, or a problematic survey—the setup fee is refunded, provided no claim has been made.

Why It Matters

With a Reservation Agreement:

  • Buyers cannot pull out without a valid reason, or they risk losing their financial commitment.
  • Sellers cannot accept a higher offer or change their minds without facing consequences.

This mutual commitment protects both sides from unnecessary stress and uncertainty, ensuring a smooth and secure transaction.

At Homes Partnership, we believe in providing our clients with the confidence and peace of mind they deserve. With our Reservation Agreements, you can say goodbye to last-minute surprises and hello to a straightforward, reliable property journey.

Reservation Agreements FAQ

To help you better understand how Reservation Agreements work and the benefits they bring, we’ve answered some of the most common questions below. If you have any further queries, our team is always happy to help.

Once the offer has been agreed upon, the Buyer and Seller sign the agreement and are bound by its terms. We then formally agree the sale in writing and remove the property from the market. The sale is secure for both sides and they are bound. If either party withdraws for any reason, other than agreed upon, the other side is entitled to a compensation payment.

Both the buyer and the seller each pay a Reservation Fee typically £450 + VAT. (£540 inc vat). This total fee of £1080 is normally split (£540 each) or very occasionally, by prior arrangement, one side pays the total.

If the seller already has an RA on their sale with us they wont need to pay for another one on their purchase RA.

This secures a £5,000 commitment to you both from each other. This compensation payment is paid to the innocent party The reservation fee and commitment can vary. This amount represents the minimum fee and level of commitment.

This fee is paid to Gazeal who Homes Partnership uses to administer this. Gazeal is the UK’s No.1 provider used by over 1000 agents; they are approved by the Law Society and Propertymark.

The fee is similar to an insurance premium and not a deposit; there is a lot of work involved in the setup. The fee is to enable a cast iron 100% guarantee that compensation is due the injured party receives it without needing further legal costs to recover. Homes Partnership do not receive any money from setting up a reservation fee.

Whatever level of commitment was agreed upon, a minimum of £5,000.

Gazeal will be responsible for making the payment to the innocent parties and then recovering it from the defaulting party.

Neither the Buyer or Seller put down a deposit. Instead we ask for a Reservation Fee to set up the legal agreement It’s like paying for an insurance policy. (Minimum £450 + vat / £540 inc vat). If there is a reasonable withdrawal, such as a chain break or buyer has failed to secure finance from at least two lenders – Gazeal would refund whoever has paid the fee as the agreement cannot continue under reasonable circumstances. Gazeal who set it up have the final decsion on this.

Although the £450 + VAT (£540 inc vat) is low, both parties are committed to a minimum of £5,000 if either breaks the agreement. These amounts can vary.

The agreement makes provisions for various scenarios that would mean there would be no penalty for withdrawal. Such as:

  • Down Valuation due to survey not re-negotiable
  • Bad survey with unknown essential repairs costing more than 3.5% of the purchase price
  • Bad Title
  • Chain Break Down above the Seller or Below the Buyer
  • General Reasons agreed by ‘Mutual Consent’ with Seller
  • Inability to get a Mortgage with two separate lenders.

Any reason would need evidence of proof behind it, not just a verbal reason.

Quite often Gazeal are happy to refund the setup fees (or save them for the next transaction) when this happens, as it is no one’s fault.

There are numerous reasons for the Seller to withdraw without the potential liability such as:

  • The Buyer gave incorrect information as to their position.
  • Agreed timescales not met by the Buyer
  • Chain Break Down below the Buyer
  • General reasons agreed by ‘Mutual Consent’ with the Buyer

The agreement can be signed BUT NO PAYMENT IS TAKEN if the chain is incomplete. Once complete, the Buyer can start the agreement by making their Reservation Fee payment. If at any point the chain collapses then the agreement simply ‘PAUSES’. The agreement is NOT DEPENDENT ON ALL OF THE CHAIN having a reservation agreement. Of course, in an ideal world the whole chain would have Reservation Agreements, but any Reservation Agreements make that part of the chain more secure which improves security.

Either party can extend the agreement by ‘Mutual Consent’. In the event that there is no ‘Mutual Consent’ then either party can walk away with no penalty.

All pre-set timescales can be extended by ‘Mutual Consent’. In the absence of ‘Mutual Consent’ either party can walk away, without penalty, if there is no extension agreed.

If the seller hasn’t found a new home a special condition can be added to cover this – The Buyer acknowledges that the Seller is looking to purchase another property with the proceeds of the sale, so the sale is contingent on the seller agreeing on the purchase of another property and the parties, therefore, agree that failure to Exchange Contracts on the Sale because of the Seller not having agreed to purchase another property shall not be deemed unreasonable. The buyer would be refunded in this case.

It is agreed that the seller will split the compensation payment with the agent. This is typically set at 50%. This is agreed in advance with the seller. Most importantly the agent receives ‘greater security’ for their sales and better protection of their sellers and buyers if no compensation due.

There are cases where the upfront Reservation Agreement fee is refunded (during the term) or held back for the next time.

The Reservation Agreement ends when:

– Contracts Exchange

– A party breaks the agreement (they then will need to pay the compensation)

– If a party withdraws reasonably during the timescale, as per the terms eg. their chain breaks down, major essential unknown survey repairs, mortgage lenders retract a promise. Often the RA fee can be refunded by Gazeal.

– The term expires.

Summary of the Reservation Agreement

“The agreement outlines the financial commitment between Sellers and Buyers, stipulating payment if the sale of the Property fails due to unreasonable refusal to exchange contracts or termination by either party, with Gazeal acting as guarantor. Both parties agree to refrain from marketing the Property or making offers on other properties during the Term, with obligations to retain conveyancers and act in good faith. Grounds for reasonable termination include unknown essential repairs on a survey, defective title (e.g. unclear legal ownership), changes to agreed terms, failure of a chain, and failure to secure required finance, with provisions for dispute resolution by an appointed Expert Panel. The agreement is governed by the laws of England and Wales, with limited liability for the parties and Gazeal, and final decisions made by the appointed Independent Expert Panel are binding.”
